Terms of Service
The terms that govern this website and your use of the Unicorn Panel software. Written to be read, not to be hidden behind.

Who these terms are with
Unicorn Panel (UPCP) is made and licensed by Unicorn Labs LLC, 4925 S Broadway Ave, Unit #6070, Wichita, KS 67216, United States. In these terms, “we” and “us” mean that company, and “you” means the person or organization using the website or the software.
By installing Unicorn Panel, buying a license, or using this website, you agree to these terms. If you are agreeing on behalf of a company, you confirm you are authorized to bind it. If you do not agree, do not install or use the software.
The license we grant you
Unicorn Panel is self-hosted software that we license to you. You do not buy the software itself; you get a non-exclusive, non-transferable right to install and run it on servers you control, for as long as your license is valid.
What your license covers is set out on the Pricing page. In short: up to 2 servers and 2 panel accounts are free, the paid package covers 3 servers and 10 accounts, and anything beyond that is billed per extra server and per extra account.
You may use the panel commercially, host your own clients on it, and use the white-label reseller features to present it under your own brand. That is what it is for.
What you may not do
You may not sublicense, resell, or redistribute the software itself as a product. Hosting your customers on a panel you run is fine; handing them the software to run themselves is not.
You may not circumvent, disable, or tamper with the license check or the usage counts it reports, or run more servers or accounts than your license covers by defeating those mechanisms.
You may not decompile, disassemble, reverse engineer, or otherwise attempt to derive the source of the encoded parts of the software, or assist anyone else in doing so.
You may not remove our copyright notices from the software, or represent that you wrote it.
Acceptable use
You are responsible for what runs on your servers and what your customers do with them. You may not use Unicorn Panel, or allow it to be used, to break the law, to infringe someone else’s rights, or to attack or disrupt other systems.
Because the panel ships a mail server, one rule deserves stating plainly: you may not use Hermes, or any mail service the panel configures, to send unsolicited bulk email. Keep your senders consented and your lists clean. Sustained spam from a licensed installation is grounds for suspension.
This website and our community forum are covered too: no attempts to break, overload, or abuse them, and nothing posted that is unlawful or designed to harm other users.
Export control and sanctions
We are a United States company, so US export control and sanctions law applies to this software. You may not use it, or allow it to be used, in a country or territory subject to comprehensive US sanctions, and you may not license, transfer, or provide access to it to anyone on a US restricted-party or denied-persons list.
You are responsible for complying with the export and import laws that apply where you operate. If you are unsure whether they affect you, take advice before deploying.
Your account and your license key
Your license key identifies your installation. Keep it to yourself: anyone holding it can activate the software against your license. You are responsible for what happens under your license and under any panel accounts you create.
Tell us promptly if you believe your key or your billing account has been compromised, and we will help you replace it.
Fees, billing, and metering
Paid licenses are billed monthly in advance, in US dollars, through Stripe. Prices exclude tax; any VAT or sales tax is calculated at checkout based on your location.
Your invoice is metered by your own counts. The panel reports how many servers and accounts your installation runs, and the amount owed follows from the rates published on the Pricing page. If those counts grow during a billing period, the additional amount appears on your next invoice.
If a payment fails, we will retry and let you know. An unpaid license does not lock you out: after a grace period it drops back to the free tier, and your data stays where it is, on your servers.
Refunds
If Unicorn Panel is not for you, tell us within 30 days of your first paid invoice and we will refund it in full. No explanation required.
The guarantee applies to your first paid invoice on an account. Later renewals are not refundable, but you can cancel at any time to stop the next one, and you keep access until the end of the period you have already paid for.
Price changes
We may change our prices. If we do, the change applies to new customers only: the rate you signed up at stays yours for as long as your subscription remains active. If you cancel and come back later, you return at the price current at that time.
Canceling
You can cancel whenever you like, from your account page, with no notice period and no exit fee. Cancellation takes effect at the end of the period you have paid for, and the license then reverts to the free tier rather than switching itself off.
Nothing is held hostage. Your servers, sites, databases, mailboxes, and backups are on your own machines throughout, and remain yours.
Suspension and termination
If you breach these terms, we will normally tell you what is wrong and give you 14 days to put it right. If you do not, we may suspend or terminate your license.
We may act immediately, without that notice period, where the breach is serious. By that we mean: using the panel for unlawful purposes or unlawful content; sending unsolicited bulk email from it after being asked to stop; attacking, probing, or overloading our systems or anyone else’s; tampering with the license check or falsifying the counts it reports; redistributing the software; or exposing us to legal liability or to suspension by our own providers.
You can end this agreement at any time by canceling and uninstalling the software.
When a license is terminated for breach, your right to run the software ends with it. Stop using it, uninstall it from your servers, and delete any copies you hold. This is different from simply canceling, where the license drops back to the free tier and you can keep running within those limits.
Availability and support
The software runs on your infrastructure, so its uptime is in your hands, not ours. What we operate is the update and licensing service, this website, the demo, and the community forum. We aim to keep them available, but outside a signed Enterprise agreement we make no uptime commitment for them.
The panel is built for that: license checks are occasional rather than per-request, and an installation keeps working on its paid plan for up to 30 days if our service is unreachable.
Free licenses are supported through the community forum. Paid licenses add private ticket support. Response-time commitments exist only where an Enterprise agreement sets them out.
Support covers the panel, the Unicorn stack components, and the panel’s own handling of the third-party engines it manages. It does not cover your operating system, your hardware or network, your customers’ websites and code, or third-party software we did not ship. We will often help anyway where the cause is unclear, but that is goodwill rather than an obligation. Tickets are handled in English.
Diagnosing a problem sometimes means looking at your server. If you give us access, whether SSH, panel credentials, or a temporary login, you are authorizing us to use it for that ticket and nothing else, and you confirm you are entitled to grant it. Take a backup first. We are careful, but a live system being debugged is a live system, and you are better placed than we are to know what cannot be lost. Remove or rotate any credentials you share once the ticket is closed.
Changes to the software
We develop Unicorn Panel continuously and publish what has changed on the Releases page. Features may be added, altered, or retired over time. We will not remove something central to how you use the panel without a clear reason and reasonable warning.
You choose when to upgrade. Running an old version is your call, but we support the current release.
Your data and your customers
Unicorn Panel is self-hosted. Your websites, databases, mailboxes, DNS zones, backups, and customer records live on your servers, and we neither receive nor process them. What little the panel does send us is described in the Privacy Policy.
That means backups, access control, and compliance for the data you and your customers hold are your responsibility. If you host others, the agreement between you and them is yours to write; these terms are between you and us.
On backups specifically: the panel gives you a good backup system, and you should still not treat it as your only one. Software has bugs, disks fail, and a backup you have never restored is a guess rather than a plan. Test your restores, and keep a copy somewhere the panel does not control. We are not liable for data you cannot recover.
If you resell or host for others, they are your customers, not ours. You support them, you contract with them, and you remain responsible to us for anything done under your license, including by them. We will not take support requests from your customers, and nothing in these terms gives them rights against us.
Reselling: what your customer agreement must say
You may host customers on a panel you run, and present it under your own brand. Because those customers end up using our software, your agreement with them has to carry a few terms through. This is the condition on which reselling is allowed.
Your customer agreement must include, in substance:
- That they may not copy, modify, decompile, reverse engineer, or redistribute the software, or try to derive its source.
- That the software and everything in it belongs to us, and that using it gives them no rights in it.
- That the software is provided without warranty, and that our liability to them is limited at least as far as it is limited to you under these terms.
- That their right to use it ends automatically if your license ends, for whatever reason.
- That we may suspend or disable access where you are in breach of these terms, or they are in breach of the equivalent terms in yours.
- That we can enforce these particular points directly against them, as a third party beneficiary of your agreement.
You stay responsible to us for everything done under your license, including by your customers. If we ask, show us the terms you use. Putting customers on the panel without these terms in place is a breach of this agreement, and we would rather help you get the wording right than find out later.
The community forum
Anyone can read the forum; posting needs an account, and you must be 18 or older to hold one. You are responsible for what you post and for keeping your login to yourself.
You keep ownership of what you write. By posting, you give us permission to host, store, display, and distribute it as part of running the forum, and to keep it visible in threads after you leave. If you delete a post we will stop displaying it, though quoted copies in other people’s replies may remain.
Do not post anything unlawful, abusive, deceptive, or infringing, and do not use the forum for spam or unsolicited advertising. We can remove posts and suspend accounts, though we are not obliged to review anything in advance. We will act on reports rather than police every thread.
Copyright complaints
If you believe something posted on our forum or website infringes your copyright, write to our designated agent and we will act on a proper notice. Under the Digital Millennium Copyright Act, that notice needs to include:
- Your physical or electronic signature, as the owner or someone authorized to act for them.
- What work you say has been infringed.
- Where the infringing material is, precisely enough that we can find it.
- Your name, address, telephone number, and email address.
- A statement that you believe in good faith that the use is not authorized by the owner, its agent, or the law.
- A statement, made under penalty of perjury, that the notice is accurate and that you are the owner or are authorized to act for them.
Our designated agent
Notices go to the agent we have designated with the United States Copyright Office under 17 U.S.C. 512(c)(2). You can view our entry in the Office’s public directory, or search it for Unicorn Labs LLC, Unicorn Panel, or UPCP.

We review notices promptly, and remove or disable material where the claim is properly made out. If your material was removed and you believe that was a mistake, send a counter-notice to the same address. We may pass a copy of either notice to the person on the other side, and we terminate accounts that repeatedly infringe.
Ideas and feedback
If you send us a feature request, a suggestion, or a comment on the roadmap, whether by email, in a ticket, or on the forum, we may use it freely: build it, change it, or ignore it, with no payment to you and no obligation to keep it confidential. Feature voting only works if we can act on what we read.
This does not apply to anything else you send us in confidence, and it does not give us rights in your own software, trademarks, or business.
Intellectual property
We own Unicorn Panel, the Unicorn stack components, the name, the logo, and this website. Using the white-label features lets you present the panel under your own brand to your customers; it does not transfer any ownership of ours to you.
The software includes third-party and open-source components, which remain under their own licenses. Nothing here overrides those licenses.
Warranty disclaimer
The software, the website, and the demo are provided “as is”. To the fullest extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be uninterrupted or error free.
If you are a consumer, nothing here takes away rights your local law gives you that cannot be waived.
We put real effort into keeping the software secure, and the architecture is built to contain problems rather than spread them. Even so, no software is perfectly secure, and we do not warrant that our measures, or those of anything we depend on, will never be defeated.
Unicorn Panel is built to host websites, databases, mail, and DNS. It is not designed or tested for use where failure could lead to death, injury, or severe physical or environmental harm, such as running nuclear facilities, aircraft navigation, air traffic control, weapons systems, or life support. Do not use it for those purposes.
Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential loss, nor for lost profits, lost revenue, lost business, or lost or corrupted data, however it arises.
Where we are liable, our total liability for all claims in aggregate is limited to the fees you paid us in the 12 months before the event giving rise to the claim.
If you have not paid us anything, including where you run the free tier, our liability is excluded entirely to the fullest extent the law allows. Free software carries no financial exposure for us.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Indemnity
You agree to indemnify us against claims, losses, and reasonable costs arising from your use of the software in breach of these terms, from content or services you or your customers host on it, or from your breach of the law.
General
Entire agreement
These terms, together with the Privacy Policy and anything we agree with you in writing, are the whole agreement between us. They replace anything said earlier, and you have not relied on any statement, promise, or representation that is not written here. Where you send us your own purchase order or supplier terms, they do not apply unless we sign them.
Severability
Each clause stands on its own. If a court decides any part of these terms is unlawful or unenforceable, that part is limited or removed to the minimum extent necessary and everything else stays in force.
No waiver
If we do not enforce a right straight away, or at all, we have not given it up. A right is only waived if we say so in writing, and waiving it once does not waive it next time.
Assignment
We may transfer our rights and obligations under these terms to another company, for example if our business is sold or restructured, and we will say so on this page. You may transfer yours only if we agree in writing first.
No third-party rights
This agreement is between you and us. Nobody else can enforce it, including your customers and anyone you grant access to your panel.
What survives
The sections on intellectual property, warranty disclaimer, limitation of liability, indemnity, and governing law continue to apply after your license ends, however it ends.
Unauthorized use
If you become aware that someone is using Unicorn Panel without a valid license, or has copied or tampered with it, tell us.
Notices
Formal notice to us goes to Unicorn Labs LLC, 4925 S Broadway Ave, Unit #6070, Wichita, KS 67216, United States, or by email through the contact form. Notice to you is given by email to the address on your account, and is effective when sent. Keep that address current: if it stops working and you do not update it, a notice we send there still counts.
Events outside our control
Neither of us is liable for failing to perform because of something genuinely outside our control, such as natural disasters, war, civil unrest, government action, large-scale internet or power failures, or the collapse of an upstream provider. Whoever is affected will say so as soon as they reasonably can and put it right as soon as they reasonably can. This does not excuse paying what is already owed.
Why the limits are here
The warranty disclaimer, the limitation of liability, and the indemnity are a fundamental part of this agreement and are reflected in what we charge. We could not offer the software at these prices, or give away a free tier at all, without them.
Time limit on claims
Any claim arising out of this agreement or the software must be brought within one year of when it arose, so far as the law allows. After that it is barred.
We are not partners
We are independent of each other. Nothing here creates a partnership, joint venture, agency, employment, or fiduciary relationship between us.
Remedies add up
Any remedy set out here is in addition to, not instead of, the other remedies available to us at law or in equity.
US Government users
Unicorn Panel and its documentation are Commercial Items as defined at 48 C.F.R. 2.101, comprising Commercial Computer Software and Commercial Computer Software Documentation as those terms are used in 48 C.F.R. 12.212 and 48 C.F.R. 227.7202. US Government end users acquire it only as a Commercial Item and with only the rights granted to everyone else under these terms.
Changes to these terms
We may update these terms. The current version always lives on this page with the date it was last changed at the top. Where a change materially affects your rights, we will make that clear rather than quietly editing the text, and continuing to use the software after a change means you accept it.
Governing law
These terms are governed by the laws of the State of Kansas, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Sedgwick County, Kansas have exclusive jurisdiction over any dispute, and both of us submit to that venue.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
